By accessing or using Life Boat Backup ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you ("User" or "you") and Life Boat Backup ("Company," "we," "us," or "our").
2. Description of Service
Life Boat Backup is an automated backup service that synchronizes data from Google Drive and Slack workspaces directly to your AWS S3 buckets. Our Service includes:
- Nightly automated backups with delta synchronization
- Direct streaming to customer-owned AWS S3 buckets
- OAuth integration with Google Drive and Slack
- Dashboard for monitoring backup status and logs
- Email notifications and magic link authentication
3. User Accounts and Registration
3.1 Account Creation
- You must provide a valid email address to create an account
- You are responsible for maintaining the security of your account
- You must be at least 13 years old to use our Service
- One person may not maintain more than one account
3.2 Account Responsibilities
- You are responsible for all activities under your account
- You must notify us immediately of any unauthorized access
- You must provide accurate and complete information
- You must comply with all applicable laws and regulations
4. Subscription Plans and Billing
4.1 Available Plans
- Free Plan: 1GB storage, weekly backups
- Premium Plan: $10/month, 20GB storage, daily backups
- Professional Plan: $30/month, 100GB storage, enterprise features
- 30-Day Trial: One-time professional trial for new users
4.2 Billing Terms
- Subscription fees are billed monthly in advance
- Payments are processed securely through Stripe
- All fees are non-refundable except as required by law
- Price changes will be communicated 30 days in advance
4.3 Cancellation and Refunds
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial months of service
- Free accounts may be terminated for extended inactivity
5. Acceptable Use Policy
5.1 Permitted Uses
You may use our Service to backup legitimate business and personal data from Google Drive and Slack workspaces that you own or have authorized access to.
5.2 Prohibited Uses
You may not use our Service to:
- Backup data you do not own or have permission to access
- Store illegal, harmful, or malicious content
- Violate any applicable laws or regulations
- Attempt to reverse engineer or compromise our systems
- Abuse rate limits or attempt to overwhelm our infrastructure
- Share account credentials or circumvent usage limitations
- Use the service for cryptocurrency mining or similar resource-intensive activities
6. Data Ownership and Responsibility
6.1 Your Data Ownership
- You retain full ownership of all backed-up data
- Your data is stored directly in your AWS S3 bucket
- We never claim ownership or rights to your backup content
- You are responsible for the legality and appropriateness of your data
6.2 AWS Requirements
- You must provide valid AWS S3 credentials
- You are responsible for AWS storage costs and management
- You must ensure proper S3 bucket permissions and security
- We are not responsible for AWS service availability or costs
7. Service Availability and Performance
7.1 Service Level
- We strive for high service availability but do not guarantee 100% uptime
- Scheduled maintenance will be communicated in advance when possible
- We implement monitoring and alert systems for service reliability
7.2 Backup Limitations
- Backup frequency depends on your subscription plan
- Large files or high-volume changes may impact backup completion time
- Third-party service limitations (Google, Slack, AWS) may affect backups
- We implement abuse protection and rate limiting as necessary
8. Privacy and Security
Your privacy is important to us. Our data handling practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference. Key points include:
- We never access or store your actual backup content
- OAuth tokens and credentials are encrypted with user-specific keys
- Data flows directly from source platforms to your S3 bucket
- We implement industry-standard security measures
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including software, documentation, logos, and trademarks, is owned by Life Boat Backup and protected by intellectual property laws.
9.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms.
10. Disclaimers and Limitations of Liability
10.1 Service Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFE BOAT BACKUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS.
Our total liability for any claims shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Life Boat Backup from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.
12. Termination
12.1 Termination by You
You may terminate your account at any time by canceling your subscription or contacting us.
12.2 Termination by Us
We may terminate or suspend your account for violations of these Terms, non-payment, or other legitimate business reasons.
12.3 Effect of Termination
- All backup operations will cease immediately
- Account data will be deleted within 30 days
- Your backup data in S3 remains under your control
- Outstanding fees remain due and payable
13. Governing Law and Disputes
These Terms are governed by the laws of the United States and the state where Life Boat Backup is incorporated, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
